The Program provides:

An automatically activated complimentary 3-month subscription to the SiriusXM satellite radio service (and, at SiriusXM’s option, other qualified services) for each Credit Union member who recently (a) financed a pre-owned vehicle with a factory-installed satellite radio or other eligible equipment at a participating Credit Union, or (b) refinanced a qualified* pre-owned vehicle with a factory-installed satellite radio or other eligible equipment at a participating Credit Union; or

An offer for a complimentary subscription to the SiriusXM satellite radio service (and, at SiriusXM’s option, other qualified services) for each Credit Union member who previously financed or refinanced a qualified* new or pre-owned vehicle with a factory-installed satellite radio or other eligible equipment at a participating Credit Union.**

No activation fees to Credit Union members for the initial activation of Sirius XM satellite radio service subscriptions in connection with the SiriusXM Credit Union Program.

The SiriusXM Credit Union Program is offered at no cost to participating Credit Unions or its members.

By submitting this SiriusXM Credit Union Enrollment Authorization Form to SiriusXM, Credit Union agrees that the terms and conditions set forth herein, and those incorporated by reference, shall serve as an “Agreement,” and Credit Union agrees to be bound hereby as of the above “Date.”

Credit Union agrees to provide Sirius XM Radio Inc. (“SiriusXM”) data that exists in its systems, including member data, to activate SiriusXM subscriptions (“Trial Subscriptions”) for members, to create Trial Subscription accounts for members, to communicate with members regarding their Trial Subscriptions or offers for Trial Subscriptions, to communicate with members regarding options to extend their services following the Trial Subscription or to market other SiriusXM products or services, and/or for related business purposes (such purposes, collectively, the “Program”). SiriusXM agrees to use Credit Union’s data to solely facilitate the Program, provided that this shall not prevent SiriusXM from obtaining and using the same or similar data obtained from third parties, including Credit Union’s members, without restriction. SiriusXM shall not sell or share Credit Union data with anyone without Credit Union’s express written consent, other than those SiriusXM contractors used in connection with the Program. Credit Union understands that SiriusXM relies on its sources for the accuracy and reliability of its information, and therefore can only assume responsibility for data from Credit Union that is accurate, complete and reliable. CREDIT UNION AGREES TO PROVIDE SIRIUS XM WITH MEMBER INFORMATION ONLY TO THE EXTENT PERMITTED UNDER CREDIT UNION’S PRIVACY POLICY AND APPLICABLE FEDERAL AND STATE LAWS, INCLUDING BUT NOT LIMITED TO THE PRIVACY RULE OF THE GRAMM-LEACH-BLILEY ACT (16 C.F.R. PART 313, THE “GLB PRIVACY RULE”).

Each party agrees that it will comply with all applicable legal obligations relating to privacy, security, integrity, and confidentiality of member data collected from Credit Union (“Member Information”), except for aggregated data that does not enable identification of the Credit Union’s individual members and any other extracted data, which obligations may include the Gramm-Leach-Bliley Act and its implementing regulations.  Each party agrees that it will, at a minimum, implement and maintain appropriate administrative, technical, and physical safeguards reasonably designed to:  (a) ensure against any anticipated threats or hazards to the security or integrity of the Member Information; and (b) protect against unauthorized access to or use of the Member Information that could result in substantial harm or inconvenience to the Credit Union or the individual who is the subject of Member Information.  Each party may disclose Member Information, when required, pursuant to any federal or state law or regulation or rules or regulations of any governmental agency.  These provisions shall apply during the term and after the termination of this Agreement.

This Agreement constitutes the entire agreement of the parties and supersedes all prior agreements, whether written or oral, with respect to the subject matter hereof. This Agreement encompasses obligations which apply to Credit Union, to SiriusXM, and to SiriusXM’s contractors who will have access to Credit Union’s data. The provision and use of SiriusXM subscription services (Trial Subscriptions and paid subscriptions) are governed by the SiriusXM Customer Agreement; see www.siriusxm.com, as such terms may be modified from time to time by SiriusXM in its sole discretion.  Sirius XM may terminate Credit Union’s participation in the Program immediately upon Credit Union’s breach of any of the terms of this Agreement or upon 30-days written notice for any reason or no reason.  Credit Union may discontinue its participation in the Program at any time upon 30-days written notice to Sirius XM Radio Inc., Attention: Automotive Remarketing, 1290 Avenue of Americas, New York, NY 10104.

This Agreement shall be governed by, and construed in accordance with, the laws of the State of New York, regardless of principles of conflicts of laws that may require the application of the laws of another jurisdiction.  Any action or litigation concerning this agreement will take place exclusively in the federal or state courts sitting in New York, New York, and the parties expressly consent to the jurisdiction of and venue in such courts and waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts.

NEITHER SIRIUSXM NOR ANY CONTRACTOR OF SIRIUSXM SHALL BE LIABLE FOR ANY PUNITIVE, EXEMPLARY, LOST PROFITS, SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE THAT MAY ARISE IN CONNECTION WITH THE CREDIT UNION PROGRAM, EVEN IF SUCH PARTY HAS BEEN ADVISED ON THE POSSIBILITY OF SUCH DAMAGES.  CREDIT UNION SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS SIRIUS XM, ITS CONTRACTORS, AND THEIR RESPECTIVE AFFILIATES, EMPLOYEES, OFFICERS AND DIRECTORS FROM AND AGAINST ANY AND ALL THIRD PARTY CLAIMS AND RESULTING DAMAGES, COSTS AND OTHER LIABILITIES AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF ANY CLAIM THAT THE DATA PROVIDED BY CREDIT UNION VIOLATES ANY STATE OR FEDERAL LAWS OR REGULATIONS, INCLUDING THE GLB PRIVACY RULE.

SIRIUS XM RESERVES THE RIGHT TO CHANGE THE TERMS & CONDITIONS OF THE PROGRAM OR TERMINATE THE PROGRAM AT ANY TIME. ANY CHANGES WILL BE EFFECTIVE UPON THE POSTING OF THE CHANGES ON SXMCUPROGRAM.COM (THE “SITE”) OR UPON CREDIT UNION’S RECEIPT  OF SUCH CHANGED TERMS & CONDITIONS, WHICHEVER IS EARLIER. CREDIT UNION’S CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING SUCH UPDATE WILL CONSTITUTE CREDIT UNION’S ACCEPTANCE OF SUCH CHANGED TERMS & CONDITIONS. CREDIT UNION SHOULD FREQUENTLY REVIEW THE TERMS & CONDITIONS ON THE SITE FROM TIME TO TIME TO UNDERSTAND THE TERMS THAT APPLY TO ITS PARTICIPATION IN THE PROGRAM.

I am an authorized signer for this Credit Union, have read the Terms and Conditions and authorize my data to be processed for the SiriusXM Credit Union Program

*Certain vehicles with factory-installed satellite radio may not qualify for Sirius XM satellite radio service subscriptions as part of the Credit Union Program, including vehicles with active SiriusXM satellite radio service subscriptions, vehicles which have received the SiriusXM satellite radio service (on a trial or paid subscription basis) in the prior 12 months, and/or other vehicles as reasonably determined by SiriusXM in its sole discretion. SiriusXM may at its discretion provide subscriptions to the SiriusXM Internet Radio service or other qualified services to owners of vehicles that do not qualify for satellite radio service subscriptions and/or to owners that do qualify.

**This benefit shall not be available to Credit Union members at the time of initial launch of the Credit Union Program. SiriusXM shall notify Credit Union when this benefit becomes available to Credit Union members.
